<div><h3>Assistant General Counsel</h3><br /> <p>Full Time – Mills Building, El Paso, TX, USA</p><br /> <h3>Position Summary</h3><br /> <p>Franklin Mountain Investments LLC seeks an Assistant General Counsel to provide legal support to the Chief Legal Officer and executive leadership. This role serves the company and its affiliates, with a strong emphasis on corporate transactions, real estate transactions and litigation.</p><br /> <h3>Key Responsibilities</h3><br /> <ul><br /> <li>Work directly with the Chief Legal Officer and executive team on legal matters affecting business operations, transactions, and regulatory compliance.</li><br /> <li>Draft, review, and negotiate contracts, including those related to real estate acquisitions, dispositions, leasing, and financing.</li><br /> <li>Manage and oversee litigation and dispute resolution, including real estate and commercial matters.</li><br /> <li>Conduct legal and business research; deliver clear, actionable guidance on complex legal issues.</li><br /> <li>Support corporate governance, acquisitions, and special projects as assigned.</li><br /> <li>Monitor, analyze, and respond to legislative and regulatory developments related to the company’s business activities.</li><br /> </ul><br /> <h3>Qualifications</h3><br /> <ul><br /> <li>Juris Doctor (JD) from an accredited institution.</li><br /> <li>Active license to practice law in Texas.</li><br /> <li>Minimum five years of corporate law experience, including substantial work in real estate, corporate matters and litigation; law firm or in-house experience preferred.</li><br /> <li>Experience reviewing, drafting and negotiating complex agreements.</li><br /> <li>Experience in managing outside counsel is preferred.</li><br /> <li>Experience in contract, corporate, licensing, real estate law, and litigation.</li><br /> <li>High integrity, professionalism, and confidentiality.</li><br /> <li>Strong analytical, organizational, and communication skills.</li><br /> <li>Strategic thinker and collaborative team player.</li><br /> <li>Proven ability to manage time and meet deadlines.</li><br /> </ul><br /> <h3>Physical Requirements</h3><br /> <ul><br /> <li>Prolonged desk and computer work.</li><br /> <li>Ability to lift up to 15 pounds.</li><br /> </ul><br /> <h3>About the Company</h3><br /> <p>Franklin Mountain Investments LLC (FMI) is a diversified private equity investment firm located in El Paso, TX.
